Cadeler and Eneti have agreed to merge

Gorrissen Federspiel advised Cadeler A/S legally.

Cadeler said today that it will make Eneti shareholders a share exchange offer to merge the two offshore wind enterprises. The two companies’ combined market value will exceed USD 1.2 billion based on the closing price on 15 June 2023.

Gorrissen Federspiel’s transaction team Chantal P. Patel Simonsen, Johan Casper Hennings, Erik Kjær-Hansen, Ole Poulsen Tougaard, Christine Kjærgaard, Sixten Franke, Rikke Juul Hesse Rasmussen, Ember Lagden, Thomas Edelgaard Christensen and Stine Halby Hanson.

The transaction requires Cadeler A/S shareholders to approve the share issue, Eneti shareholders to accept the exchange offer, and regulatory approvals. Thus, the combination should be finished by the fourth quarter of 2023.
