Hengeler Mueller advises on the IPO of IONOS Group

United Internet AG and WP XII Venture Holdings II SCSp, a subsidiary of Warburg Pincus, are the shareholders of IONOS Group SE (75.1% and 24.9%, respectively). On 27 January 2023, United Internet AG and WP XII Venture Holdings II SCSp, a subsidiary of Warburg Pincus, established the framework for the anticipated initial public offering of IONOS Group SE and the admission of its shares to trading on the regulated market of (Prime Standard). The pricing range for IONOS shares has been determined to be between 18.50 and 22.00 EUR per share.

United Internet and Warburg Pincus are each offering 15% of their respective holdings, in addition to overallotment and greenshoe shares. Depending on the final offer price and assuming placement of all offered shares (including the greenshoe), the IPO’s total gross proceeds might range between 447 and 543 million euros. On February 7, 2023, the final offer price and allocation of the offered shares are anticipated to be determined. The inaugural trading day is anticipated to occur on February 8, 2023.
